One of our key areas of expertise is corporate law and M&A. Banking and financing advice covers regulations governing banking, financial institutions, insurance and leasing companies including capital market transactions. A major portion of the work in this area involves drafting and negotiating loan and security documentation, including the LAM standard currently accepted and preferred in most jurisdictions, not only in the UK. Finally, financing transactions often involve securing lender’s receivables by way of contracts to make sure he gets what he is owed. This area includes all the regulatory aspects of conducting business in banking, insurance, money and capital markets.

  • advising an international credit card company on a cross-border merger where the acquiring company was a Czech corporation
  • advising an international production company in two cross-border mergers where the acquiring companies were based in Austria and Hungary
  • advising a Slovak insurer, market leader in life insurance and its shareholders in a cross-border merger with an Irish insurance company; the transaction involved setting up a branch of the acquiring Irish insurance company to prevent interruption of its operations and insurance services in Slovakia
  • advising a major German automotive company on a cross-border merger where its Slovak subsidiary was acquired by the German parent
  • advising a retail chain on group restructuring
  • advising a Slovak corporation with subsidiaries in CEE on restructuring its group companies and their operations
  • advising a major global manufacturer and supplier of monitoring and information systems operating in 54 countries on the departure of its shareholder and director from the company and on regulatory issues, such as concentration as per the Slovak Competition Act
